7 Red Flags in Client Contracts Every Freelancer Should Watch For

Not every client contract is written in your favor. Some clauses can trap you in unfavorable terms, transfer your intellectual property for free, or leave you liable for unlimited damages. Here are seven red flags to watch for.

1. Unlimited Revisions

"We'll know it when we see it" is not a scope. Contracts without revision limits lead to endless unpaid work. Cap revisions at 2–3 rounds and charge for additional changes.

2. Work-for-Hire Without Premium Pricing

Work-for-hire clauses transfer all IP to the client from the moment of creation. This is standard for full buyouts — but you should charge accordingly. Never accept work-for-hire at standard freelance rates.

3. Non-Compete Clauses

Broad non-competes preventing you from working in an entire industry are often unenforceable but can still create friction. Limit non-competes to direct competitors for a reasonable period (6–12 months).

4. One-Sided Termination

If the client can terminate without notice or payment for work completed, you bear all the risk. Insist on payment for work performed through the termination date plus any non-refundable deposits.

5. Unlimited Liability

Clauses holding you liable for the client's lost revenue, business interruption, or consequential damages are dangerous. Cap liability at the total contract value or fees paid.

6. Perpetual Confidentiality

While confidentiality is important, perpetual obligations on general business knowledge you acquire can limit future work. Time-limit confidentiality to 3–5 years post-engagement.

7. Payment Contingent on Client's Revenue

"Pay when we launch" or "revenue share only" shifts all risk to you. Unless you are a co-founder with equity, insist on fixed fees with clear payment schedules.
